Preliminary Matters

1. Parties and Acceptance

These Terms and Conditions ("Agreement" or "Terms") constitute a legally binding contract between Legacy Project Solutions LLC, a limited liability company organized under the laws of the State of Georgia ("Company," "we," "us," or "our"), operating under the brand HER Footprint Academy®, and you, the individual accessing or using the Platform ("User" or "you").

BY ACCESSING, REGISTERING FOR, OR USING THE PLATFORM OR ANY OF ITS SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO ALL TERMS AND CONDITIONS SET FORTH HEREIN, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM AND ALL ASSOCIATED SERVICES.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of the revised Terms.

2. Defined Terms

As used throughout this Agreement, the following terms shall have the meanings set forth below:

"Platform" means the HER Footprint Academy® web-based application, including the Beauty Business Profit Leak Assessment, HER AI Strategist®, HER Business OS™, and all associated tools, features, reports, and services.
"Assessment" means the Beauty Business Profit Leak Assessment, a proprietary AI-assisted diagnostic instrument designed exclusively for licensed beauty professionals.
"Proprietary Frameworks" means the Company's Decision Engine, Business Health Framework, Business Growth Maturity Model, Business Health Score methodology, recommendation logic, diagnostic framework, AI prompts, and all associated scoring and algorithmic systems.
"Services" means all products, tools, assessments, reports, educational content, and associated offerings provided through the Platform.
"Report" means the personalized strategic business analysis generated by the Platform based on a User's Assessment responses.
"User Content" means any information, data, or materials submitted by a User to the Platform, including Assessment responses and business information.
"Intellectual Property" means all patents, trademarks, service marks, trade secrets, copyrights, proprietary algorithms, methodologies, frameworks, and other intellectual property rights owned by or licensed to the Company.

3. Eligibility

The Platform and its Services are intended exclusively for licensed beauty professionals who are at least eighteen (18) years of age and are operating or building a beauty services business. By using the Platform, you represent and warrant that:

You are at least eighteen (18) years of age;
You are a licensed beauty professional or are otherwise authorized to operate a beauty services business in your jurisdiction;
You are using the Platform for legitimate business education and strategic development purposes;
You have the legal capacity to enter into binding contracts in your jurisdiction;
Your use of the Platform does not violate any applicable laws, regulations, or third-party agreements.

The Company reserves the right to verify eligibility and to terminate access for any User who does not meet these requirements.

Description and Nature of Services

4. Description of Services

The Platform provides AI-powered strategic business education and diagnostic services designed to help beauty professionals understand and improve the financial and operational health of their businesses. Services include, without limitation:

The Beauty Business Profit Leak Assessment, a structured diagnostic instrument that analyzes User-submitted business information;
HER AI Strategist®, an AI-assisted business strategy and guidance tool;
HER Business OS™, a business operating system framework;
Personalized Reports generated using the Company's Proprietary Frameworks;
Educational content, frameworks, methodologies, and strategic resources.

5. Educational Purpose and Scope of Services

ALL SERVICES PROVIDED THROUGH THE PLATFORM ARE STRICTLY EDUCATIONAL AND INFORMATIONAL IN NATURE. The Platform is designed to provide general strategic business education, diagnostic insights, and AI-assisted decision support for beauty professionals. The Platform does not provide, and no content generated by the Platform shall be construed as:

Financial advice or financial planning services;
Accounting or bookkeeping services;
Legal advice or legal representation;
Tax advice, tax preparation, or tax planning services;
Investment advice or securities recommendations;
Any other professional advisory service requiring licensure.

Users are strongly encouraged to consult qualified professionals — including licensed accountants, attorneys, financial advisors, and other applicable experts — before making significant business, financial, or legal decisions. The Company is not a licensed financial advisor, attorney, accountant, or professional services provider.

6. AI-Generated Content Disclosure

The Platform utilizes artificial intelligence technologies in conjunction with the Company's Proprietary Frameworks to generate personalized Reports and strategic recommendations. By using the Platform, you acknowledge and agree that:

Reports and recommendations are generated through AI processing of your submitted information combined with the Company's Proprietary Frameworks;
AI-generated outputs may contain errors, inaccuracies, or limitations inherent in artificial intelligence technology;
AI outputs are not a substitute for professional advice from qualified human professionals;
The Company does not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated outputs;
You assume full responsibility for evaluating AI-generated outputs and for all business decisions made in reliance thereon;
The quality and relevance of outputs are dependent on the accuracy and completeness of information you provide.

User Responsibilities and Conduct

7. User Responsibilities

As a condition of access to and use of the Platform, you agree to:

Provide accurate, complete, and truthful information in all Assessment responses and communications with the Platform;
Maintain the security and confidentiality of your account credentials;
Promptly notify the Company of any unauthorized access to or use of your account;
Use the Platform only for lawful purposes and in compliance with all applicable laws and regulations;
Comply with all terms of this Agreement and any supplemental policies published by the Company;
Respect the intellectual property rights of the Company and third parties.

8. Accuracy of Submitted Information

You represent and warrant that all information submitted through the Platform — including revenue figures, pricing data, client volume statistics, operational metrics, and Assessment responses — is accurate, truthful, and complete to the best of your knowledge. You acknowledge that:

The quality, relevance, and usefulness of generated Reports is directly dependent on the accuracy of submitted information;
Submitting inaccurate or misleading information may result in Reports that do not accurately reflect your business's circumstances;
The Company bears no responsibility for Reports generated based on inaccurate or incomplete User-submitted information;
You shall not submit information belonging to another person or business without proper authorization.

9. Prohibited Uses

You expressly agree that you will NOT use the Platform or any of its Services or outputs to:

Violate any applicable federal, state, local, or international laws or regulations;
Reproduce, duplicate, copy, distribute, sell, resell, sublicense, or commercially exploit any portion of the Platform, its content, Reports, or Proprietary Frameworks without express written authorization from the Company;
Attempt to reverse engineer, decompile, disassemble, decode, or otherwise derive the source code, algorithms, frameworks, methodology, or logic underlying the Platform, Assessment, Proprietary Frameworks, or any AI systems;
Scrape, harvest, extract, or systematically collect data, content, Report structures, or methodological information from the Platform through automated means or otherwise;
Use outputs, Reports, or any portion of the Platform's content to train, develop, fine-tune, or otherwise improve artificial intelligence models, machine learning systems, or similar technologies;
Reproduce, recreate, or create competitive products, services, or methodologies based on or derived from the Company's Proprietary Frameworks, Assessment structure, or scoring methodology;
Redistribute, resell, or make available to third parties any Reports, content, or outputs generated by the Platform;
Create derivative works based on the Platform's content, Reports, frameworks, or methodologies;
Interfere with, disrupt, or disable the Platform's systems, servers, networks, or security measures;
Impersonate the Company, its employees, or other users;
Introduce malicious code, viruses, or harmful data to the Platform;
Use the Platform in any manner that could damage the reputation, goodwill, or intellectual property of the Company.

Intellectual Property

10. Company Intellectual Property

The Platform and all of its components — including but not limited to the Beauty Business Profit Leak Assessment, HER AI Strategist®, HER Business OS™, HER Footprint Method®, the Decision Engine, Business Health Framework, Business Growth Maturity Model, Business Health Score methodology, Proprietary Frameworks, AI prompts, assessment logic, recommendation algorithms, scoring methodologies, diagnostic frameworks, Reports, educational materials, branding, trademarks, and all associated intellectual property — are and shall remain the exclusive property of Legacy Project Solutions LLC, protected under applicable United States and international intellectual property laws, including copyright, trademark, trade secret, and patent law.

The Proprietary Frameworks, Decision Engine, and associated methodologies constitute the Company's most valuable trade secrets and commercial assets. Any unauthorized access to, reproduction of, or attempt to reverse engineer these assets constitutes misappropriation of trade secrets and shall entitle the Company to pursue all available legal remedies.

11. User License

Subject to your full compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and use the Platform solely for your personal, non-commercial business education purposes;
View and retain copies of Reports generated from your own Assessment submissions for your personal business reference.

This license expressly excludes the right to:

Share, distribute, or disclose Reports or Platform content to third parties for commercial purposes;
Use Reports or Platform outputs in any commercial context beyond your own business planning;
Sublicense, sell, or transfer any rights granted under this license.

This license terminates automatically upon any breach of this Agreement or upon termination of your account.

12. User Content

You retain all ownership rights in the business information and data you submit to the Platform. By submitting User Content, you grant the Company a limited, worldwide, non-exclusive, royalty-free license to process, analyze, and use your submitted information solely for the purposes of generating your Reports, improving Platform functionality, and as otherwise described in the Privacy Policy.

Disclaimers and Limitations

13. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES, CONTENT, REPORTS, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR USEFULNESS OF ANY REPORTS, RECOMMENDATIONS, OR AI-GENERATED OUTPUTS;
WARRANTIES THAT USE OF THE PLATFORM WILL RESULT IN ANY PARTICULAR BUSINESS OUTCOMES, REVENUE IMPROVEMENTS, OR FINANCIAL RESULTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEGACY PROJECT SOLUTIONS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ITS SERVICES, INCLUDING BUT NOT LIMITED TO:

LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL;
BUSINESS INTERRUPTION OR DISRUPTION;
LOSS OR CORRUPTION OF DATA;
RELIANCE ON ANY REPORT, RECOMMENDATION, OR AI-GENERATED OUTPUT;
ANY BUSINESS DECISIONS MADE BASED ON PLATFORM OUTPUTS.

THE COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

15. Indemnification

You agree to defend, indemnify, and hold harmless Legacy Project Solutions LLC, its members, managers, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys' fees arising out of or relating to:

Your use of or access to the Platform;
Your violation of these Terms;
Your violation of any third-party rights, including intellectual property or privacy rights;
Your submission of inaccurate, false, or misleading information;
Any business decisions made in reliance on Platform outputs;
Your violation of any applicable laws or regulations.

General Provisions

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement or the Platform shall be resolved exclusively in the state or federal courts of competent jurisdiction located in the State of Georgia, and you hereby irrevocably consent to personal jurisdiction and venue in such courts.

17. Termination

The Company reserves the right, in its sole discretion, to suspend or terminate your access to the Platform at any time and for any reason, including but not limited to your breach of these Terms. Upon termination, your license to use the Platform immediately ceases, and you must discontinue all use of Platform content, Reports, and Services. Provisions that by their nature should survive termination — including Sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — shall survive.

18. Modifications to Terms

The Company reserves the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification, and the revised Terms will be effective upon posting. Your continued use of the Platform following notification of changes constitutes your acceptance of the revised Terms. If you do not agree to modified Terms, you must cease use of the Platform.

19. Miscellaneous

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with the Privacy Policy, AI Assessment Disclaimer, and Intellectual Property & Assessment Use Policy, constitute the entire agreement between you and the Company with respect to the Platform.
